1. Acceptance of Terms

By accessing or using the Vendo website and services operated by Aisle Technologies, Inc. ("Vendo," "we," "us," or "our"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.

2. Description of Service

Vendo is a platform that provides access to open-source software alternatives as a managed service. Features, pricing, and availability are subject to change.

3. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction if higher, to use our services. By using Vendo, you represent and warrant that you meet this requirement. If you are using Vendo on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Referral Program

By signing up, you agree to receive email communications about Vendo. Our referral program allows you to earn perks by referring others. We reserve the right to modify, suspend, or terminate the referral program at any time. Any attempt to manipulate or abuse the referral system may result in account suspension.

5. User Accounts

When Vendo launches, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Interfere with or disrupt the operation of our services.
• Use automated means (bots, scrapers, etc.) to access or interact with our services without permission.
• Abuse the referral system through fake accounts or fraudulent activity.

7. Intellectual Property

The Vendo name, logo, website design, and original content are the property of Aisle Technologies, Inc. Open-source software provided through Vendo is governed by its respective open-source licenses. Your use of such software is subject to those licenses.

8. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or secure. We are not responsible for any third-party open-source software provided through the platform.

9. Limitation of Liability

To the fullest extent permitted by law, Aisle Technologies, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, regardless of the cause of action. In no event shall our total cumulative liability to you exceed the greater of (a) the amounts you paid to us in the twelve months prior to the claim, or (b) one hundred dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Aisle Technologies, Inc. and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of our services; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.

11. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. For paid accounts in good standing, we will use reasonable efforts to provide at least 14 days' notice of termination except in cases of fraud, abuse, or violation of these Terms. Upon termination, your right to use our services will immediately cease.

12. Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, power outages, or internet infrastructure failures.

13. Dispute Resolution

We encourage you to contact us first at support@vendo.run to resolve any disputes informally. If a dispute cannot be resolved within 30 days, any claim arising out of or relating to these Terms or our services shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration against Vendo. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent any dispute proceeds in court (including for injunctive relief), you consent to exclusive jurisdiction in the state or federal courts located in the State of Delaware.

15. General Provisions

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aisle Technologies, Inc. regarding your use of our services and supersede any prior agreements.

16. Changes to These Terms

We may revise these Terms at any time by updating this page. For material changes, we will provide reasonable notice (such as an email notification) prior to the changes taking effect. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
